1. Our Role – A Neutral Facilitator
Nowexo is a connection platform, not a broker, reseller, agent, or guarantor of any products, services, or solutions offered by users.
We:
- Provide tools, resources, and communication channels to help users connect.
- Do not own, produce, supply, manage, control, or endorse any solutions offered by users.
- Do not supervise, manage, verify, or enforce any agreements between users.
All interactions, negotiations, and agreements are entirely between the users involved.
2. Responsibilities of All Users
Whether you are providing or seeking solutions, you are 100% responsible for:
- The truth, accuracy, and completeness of all information you share.
- Performing your own due diligence before entering into any arrangement.
- Negotiating, managing, and fulfilling your agreements directly with the other party.
- Complying with all applicable laws, regulations, and tax obligations in your jurisdiction.
- Ensuring the legality, safety, quality, and suitability of your own products, services, or solutions.
3. Additional Responsibilities for Solution Providers
If you are offering products, services, technology, or any other agricultural solution, you are solely responsible for:
- Accurate and truthful descriptions, specifications, and claims.
- Meeting all legal, regulatory, and safety requirements in every market you operate.
- Managing your own pricing, payment collection, refunds, warranties, and after-sales service.
4. Additional Responsibilities for Solution Seekers
If you are using Nowexo to find or acquire solutions, you are solely responsible for:
- Conducting due diligence before committing to any agreement.
- Ensuring the suitability and legality of any solution you choose to engage with.
- Managing all aspects of your agreements, payments, and arrangements with the provider.
5. Guarantees or Warranties
To the maximum extent permitted by law, Nowexo provides the platform "as is" and "as available", without any warranties—express, implied, or statutory—including but not limited to:
- Fitness for a particular purpose
- Merchantability
- Accuracy of content
- Non-infringement
We do not guarantee:
- That any connection will lead to a successful transaction, partnership, or outcome.
- That any user will act in good faith or fulfill their commitments.
- That our platform will be error-free, uninterrupted, or free from security breaches.
6. Limitation of Liability
To the fullest extent allowed by law:
- Nowexo is not liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost opportunities, data loss, or business interruption, arising from or related to your use of the platform.
- You agree to indemnify and hold harmless Nowexo, its owners, employees, and partners from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) resulting from your use of the platform or your dealings with other users.
7. Disputes Between Users
Any disputes, claims, or disagreements between users—whether involving payment, delivery, performance, or otherwise—are the sole responsibility of those users to resolve.
Nowexo may, at its discretion, offer non-binding suggestions to assist communication but has no obligation to mediate, enforce, or resolve disputes.
8. Good Faith & Lawful Use
All users must:
- Act honestly, ethically, and respectfully in all interactions.
- Avoid misrepresentation, fraud, or illegal activity.
- Use Nowexo for lawful purposes only.
Failure to comply may result in suspension or termination of your account without notice.
9. Non-Circumvention
Users agree not to bypass or circumvent Nowexo by engaging in direct business dealings with any individual or organization introduced through the platform, without Nowexo's prior written consent. This obligation applies for five (5) years from the initial introduction and covers all forms of transactions, including but not limited to sales, services, partnerships, and licensing. Any breach will result in liquidated damages equal to 20% of the total transaction value (or USD $10,000, whichever is greater), plus recovery of all legal and enforcement costs.
10. Changes to These Terms
We may update these Terms at any time. Updated versions will be posted on our website, and continued use of Nowexo means you accept the updated terms.
Final Acknowledgment
By using Nowexo, you confirm that:
- We are only a facilitator, not a party to your contracts or agreements.
- You assume all risks associated with your use of the platform.
- You waive any claims against Nowexo related to disputes, losses, or the actions of other users.
